Effective Date
These Terms of Use are effective as of May 18, 2026 and replace all prior versions. They apply to every visitor and registered user of OnlineDraft.
1. Acceptance of Terms
By accessing or using OnlineDraft (the "Service"), you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree, do not use the Service. If you accept these terms on behalf of an organization, you represent that you have authority to bind that organization.
2. Description of Service
OnlineDraft, LLC ("OnlineDraft," "we," "us") provides an online platform that helps groups organize and conduct drafts to allocate or divide things such as games, season tickets, fantasy sports players, people, vacation days, weekends or weeks, work shifts, shared accounts, and any other items, time, or resources that need to be distributed fairly among participants. The Service is provided through our web application and may include email and SMS notifications you have opted into.
3. Eligibility
You must be at least 13 years old to create an account. If you are between 13 and the age of majority where you live, you may use the Service only with the involvement and consent of a parent or legal guardian. We do not knowingly collect personal information from children under 13. If you believe a child under 13 has provided us with information, contact support@onlinedraft.com and we will delete it.
4. Account Registration & Security
To use most features, you must register an account using a valid email address or a supported social sign-in provider (Google, Apple). You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at support@onlinedraft.com if you suspect unauthorized use. You agree to provide accurate information and to keep it current.
5. User Conduct
You agree not to: (a) use the Service for any unlawful purpose or in violation of any applicable law; (b) impersonate any person or misrepresent your affiliation with any person or entity; (c) interfere with, disrupt, or attempt to gain unauthorized access to the Service or its underlying systems; (d) upload, post, or transmit content that is harmful, threatening, harassing, defamatory, or otherwise objectionable; (e) use any automated means (bots, scrapers) to access the Service without our written permission; (f) reverse engineer, decompile, or attempt to derive the source code of the Service; or (g) use the Service to harm, harass, or violate the rights of other users.
6. User Content & License
You retain ownership of the content you submit to the Service ("User Content"), including draft data, item lists, and uploaded images. By submitting User Content, you grant OnlineDraft a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for technical purposes such as resizing images), and display that content solely to operate and provide the Service. We will not use your User Content for advertising or sell it to anyone.
7. Privacy & Data
Your use of the Service is also governed by our Privacy Policy, which explains what we collect, how we use it, and the limited service providers (sub-processors) we rely on to deliver the Service. We do not sell, rent, or share your personal information for marketing or with unaffiliated third parties. See the Privacy Policy for details, including how to exercise your privacy rights.
8. SMS Messaging
If you opt in to SMS turn alerts, OnlineDraft will send you transactional text messages when it is your turn to pick in a draft, plus a one-time verification code and disclaimer when you enroll. SMS is delivered through our service provider Twilio. Message frequency varies based on draft activity. Message and data rates may apply. You can opt out at any time by replying STOP to any message or by disabling SMS in your account settings; reply HELP for help. We do not use SMS for marketing. 9. Fees and Payment
Certain features of the Service require payment. Current pricing is described on our Pricing page. All payments are processed by our payment provider Stripe; OnlineDraft does not store full payment card details. Fees are non-refundable except as described in our Refund Policy. We may change pricing prospectively; changes will not affect drafts you have already paid for.
10. Intellectual Property
The Service, including its software, design, text, graphics, logos, and trademarks, is the property of OnlineDraft, LLC and its licensors and is protected by U.S. and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose. You may not use our trademarks or trade dress without our prior written consent.
11. DMCA / Copyright Takedown
If you believe content on the Service infringes your copyright, send a notice to our designated agent at support@onlinedraft.com that includes: (a) your physical or electronic signature; (b) identification of the copyrighted work; (c) identification of the allegedly infringing material and its location on the Service; (d) your contact information; (e) a statement that you have a good-faith belief that the use is not authorized; and (f) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act for the copyright owner. We will respond as required by the Digital Millennium Copyright Act, including by removing the material and providing a counter-notice procedure to the affected user.
12. Termination
You may close your account at any time from your account settings. We may suspend or terminate your access to the Service, with or without notice, if you violate these Terms or if we reasonably believe your use poses a risk to the Service or other users. Sections that by their nature should survive termination (including User Content licenses, intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.
13. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DRAFT OUTCOME WILL BE WITHOUT DELAY OR DEFECT.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONLINEDRAFT, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR USD $50, WHICHEVER IS GREATER.
15. Indemnification
You agree to indemnify and hold harmless OnlineDraft, LLC and its officers, directors, employees, and agents from any claim, demand, damage, or expense (including reasonable attorneys' fees) arising from your User Content, your use of the Service, or your violation of these Terms or any law or third-party right.
16. Arbitration & Class-Action Waiver
Except for claims that may be brought in small-claims court, you and OnlineDraft agree that any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, in Orange County, California or by video where available. YOU AND ONLINEDRAFT WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. You may opt out of this arbitration agreement by sending written notice to support@onlinedraft.com within 30 days of first accepting these Terms. If any portion of this section is unenforceable, the rest of the section remains in effect.
17. Governing Law
These Terms are governed by the laws of the State of California, U.S.A., without regard to conflict-of-law principles. Subject to the Arbitration section above, any action not subject to arbitration must be brought exclusively in the state or federal courts located in Orange County, California, and you consent to personal jurisdiction there.
18. Changes to Terms
We may update these Terms from time to time. The "Effective Date" above shows when they were last revised. For material changes, we will provide reasonable notice (for example, by email or in-app notice) and ask you to accept the updated Terms before continuing to use the Service. Continued use after the effective date of an update constitutes acceptance of the changes.
